Partnership Tax

Is your business a Limited Liability Partnership (LLP)?

A LLP has a number of tax considerations for the individuals who are members. They provide the flexibility of a partnership with the limited liability of its members. They are popular with professional entities and must be distinguished from an ordinary partnership and a rare limited partnership.

Generally, partnerships are seen to be ‘transparent’. Tax is not payable by the partnership itself, but by each member. Each partner’s share of the partnership income is added to their taxable income and therefore, tax is paid on the total of his or her earnings. This includes their share of the partnership profits. Also capital gains are apportioned to each partner.

However, there are a number of tax considerations for LLPs, including but not limited to:

Partner

Pauline provides clients with practical advice and pragmatic solutions in relation to all aspects of stamp taxes. Her wide-ranging experience on corporate and real estate transactions means that she gives bespoke advice tailored to the needs of clients, whether they are major multi-nationals, financial institutions or individual investors.

She has a proven track-record in delivering outcomes on unwinding complex structures, working alongside lenders on re-financing projects and supporting corporate trustees and offshore lawyers in managing transactions across multiple jurisdictions.

She has also supported administrators and liquidators on assets disposals to realise value from property portfolios. In addition, she has worked extensively on public sector projects, ranging from urban regeneration to student accommodation out-sourcing. Her considerable expertise comes from her 14 years in practice at KPMG and through her previous role as Assistant Controller at HMRC Stamp Office.

Pauline joined Wilder Coe in March 2016 and was made Partner in September 2016.

Tim’s passion lies in helping his clients maximise their wealth through successful tax planning for the future. Senior Tax Manager

Having qualified as a Chartered Certified Accountant in 2004 and then as Chartered Tax Adviser in 2008, Prashant has extensive knowledge in corporate and business taxes. He specialises in tax planning for small and medium sized businesses and provides his clients with sound solutions to help optimise their business’ tax positions. Prashant also has significant experience with personal taxes, enabling him to provide effective, technical advice to owner managed businesses.

By working closely with fast growing companies, Prashant is able to assist in securing business tax incentives and his professional areas of expertise cover the following:

Research & Development tax incentives

Prashant can provide businesses with advice on the availability of R&D tax reliefs and has carried out a number of successful claims for R&D tax credits. Venture Capital Schemes

(SEIS, EIS and VCT schemes)

Businesses often require HMRC’s approval that one or more of the Venture Capital Schemes apply in order for them to raise qualifying investments. Prashant is able to advise companies of their eligibility in qualifying for these schemes and can deal with cases where HMRC is being difficult in providing their advance assurance. Potential investors will always want to see HMRC’s approval before investing their money. Prashant’s initial support is crucial to help pave the way for such businesses. His experience spans across a variety of industries such as hospitality, media & digital production agencies, sports, technology, and fintech.

Corporate reorganisation and restructuring

Prashant works alongside clients looking to make changes to their corporate structure. He is able to give advice on the full spectrum of taxes involved in such projects and can assist clients to arrive at an optimal tax position whilst keeping to the project’s overall commercial objective. Such projects may arise when there is a division in the business, a company acquisition/merger, a succession plan, or as a result of the business’ organic growth.

For clients looking to incentivise their employees through share awards and share options, Prashant is able to provide tax advice to both the employer and the employee on such incentives. By setting up incentive schemes with clients, Prashant has built strong relationships with lawyers who are able to assist with the relevant legal documentation.

Sarah Simpson

Tax Supervisor

Sarah joined Wilder Coe in March 1996 and qualified as a Chartered Tax Advisor in 1998. She has a varied portfolio of clients consisting of high net-worth individuals including Lloyd’s names, self-employed individuals and Barristers. As well as completing annual tax returns, Sarah also assists her clients in any other matters which might arise.

Sarah has worked closely with Tax Partner, Tim Cook, since 1996 and strives to provide her clients with a friendly, professional and personal service.
